The Egis Europe Africa ("EURAF") Region has been established to gather the activity of all Business Lines of the Egis group in this region.

The Head of Legal, Ethics & compliance EURAF will lead a team of 15 in-house legal counsels & compliance officers (in France, UK Ireland, Serbia, Romania, Ukraine, Poland and Morrocco) dedicated to countries in the region and supporting it on the entire scope of the Legal, Ethics & compliance department (LE&C) such as corporate management, business contracts, litigation, Compliance, insurance and to a certain extent labour law matters etc with the exceptions of certain expertise led by legal experts based at the HQ (O&M contracts, M&A and IP).

He/she will be a member of the LE&CD, and will collaborate with the other LE&CD's teams, in particular the central expertise practices of the Dept at the HQ (corporate, IP, insurance, E& Cetc.) and, as the case may be, the other inhouse Business legal counsels in other regions

·       Responsible for directly providing or ensuring EURAF team provide to all businesses and functions of the Region solutions-oriented advice, recommendations, support and trainings on all aspects of legal issues and regulatory risks and compliance with legal and regulatory requirements :

o   provide support and guidance for agreements of all kinds on all legal aspects (commercial law, insurance, IP, etc.) as the case may be with the support of central experts within the LE&CD,

o   manage and supervise disputes, legal actions and litigation and regulatory risks, with the support where necessary of external counsels, contribute to the settlement of claims and manage insured losses in collaboration with the Insurance and Litigation Group central experts,

o   manage Ethics & Compliance in the Region in close coordination with the central  E&C Dept and as such participate directly in and oversee the roll out of the E&C program of codes, procedures and tools, monitoring and improvement of the Ethics approach, including by organizing trainings, advising local teams on all compliance-related issues, and helping to enrich the risk culture within the region by strengthening compliance.

o   oversee the corporate housekeeping of the Egis entities in the Region, made by his/her regional team (change of D&O, approval of annual financial statements etc), including requests and maintenance of the required operational licenses, in close coordination with the Legal central Corporate teams,

o   participate to external growth transactions (acquisitions and Integration of new companies and divestitures) in the Region, under the leadership of the central Legal M&A team,

 ·       Actively participate to the Excom of the LE&CD and contribute to the design, implementation and follow up of Group Legal E&C Dept processes, developing and sharing best practices and procedures in the Region in coordination with other members of the Dept (in particular the Deputy General Counsel who leads the Business Legal Dept)

 Education : LLB/LLM Degree from an accredited college or university, preferably in a subject related to Law or Construction     

 

15/20 years of legal experience practicing law in a law firm, or as in-house counsel, with excellent command of spoken and written English and French, specializing and with a focus in ethics and compliance with respect to day-to-day advice

Experienced in an engineering or industrial sector required in an international environment
·       Demonstrable commercial law, corporate law, and regulatory or administrative law experience in Europe/Africa or in an international context.

Demonstrable leadership and people management experience and strong ability to work as a team player who can effectively collaborate with colleagues from the Legal, E&C Department and business stakeholders, in particular coordinating with cross-functional and cross-country teams in complex transactions
·       "Hands-on" business partner attitude with a solution-oriented mindset, the highest integrity and professionalism, and capacity to challenge the status quo and strive for excellence and quality across various business functions in a fast-paced environment.

Stakeholders' management and superior negotiating skills and ability to work in complex international environment, substantial experience working in different cultures and an open mind which champions diversity and inclusion

 The position involves a high degree of leadership and responsibility; he/she must be proactive and self-motivated, with a desire to grow personally and professionally. The role requires excellent client and team management skills in a multicultural environment, persuasive writing capabilities, project management skills and great business judgment with the ability to give clear and practical legal advice.
